Terms of Service

These Terms of Service apply to the Printlits website, online store, products and related services.

Printlits is a trading name of Araisy Limited, a New Zealand company.

In these Terms, “Printlits”, “we”, “us” and “our” mean Araisy Limited trading as Printlits.

By accessing our website, creating an account, placing an order or purchasing a product from us, you agree to these Terms together with any policies referred to in them.

Nothing in these Terms limits or excludes any rights or remedies that cannot legally be excluded, including rights under the Consumer Guarantees Act 1993 and Fair Trading Act 1986.

1. About Our Store

Printlits sells 3D printed collectable figures and related products through our online store.

Our ecommerce store is hosted using Shopify. Shopify provides the technology used to operate our store but products purchased from Printlits are sold by Araisy Limited, not Shopify.

2. Eligibility and Use of Our Website

You may use our website only for lawful purposes.

When placing an order, you must provide accurate, current and complete information, including your name, delivery address, email address and payment information.

If you create an account, you are responsible for:

  • keeping your login information secure;

  • ensuring information associated with your account remains accurate; and

  • notifying us if you believe your account has been accessed without authority.

If you are under 18, purchases should be made with the involvement or permission of a parent or legal guardian.

We may restrict access to our website or an account where reasonably necessary to protect our customers, our systems or our business from fraud, misuse or unlawful activity.

3. Our Products

We make reasonable efforts to ensure our product descriptions, photographs, measurements, colours, materials and other information are accurate.

However, there may be minor differences between a product and its photographs.

Printlits products are manufactured using a layer-by-layer 3D printing process. Normal characteristics of this process may include:

  • visible layer lines;

  • minor variations in surface texture;

  • slight differences in colour placement or finish;

  • small variations in dimensions; and

  • subtle differences between individual printed pieces.

These characteristics can make each Printlit slightly different.

Nothing in this section affects your rights where a product is faulty, unsafe, materially different from its description or otherwise fails to meet a guarantee required by law.

4. Product Designs and Licensed Content

Some product designs, models, artwork or other intellectual property used in Printlits products may be created by third-party designers and used by Araisy Limited under licence or other commercial permission.

Purchasing a physical Printlits product does not transfer intellectual property rights in the underlying design to the purchaser.

Unless expressly stated otherwise, purchasing a Printlits product does not give you permission to reproduce, scan, digitally copy, manufacture, commercially exploit or redistribute the underlying design.

5. Product Safety and Age Guidance

Please read and follow all product information, warnings and age guidance provided on our website, packaging or with the product.

Some Printlits may contain small parts or components.

Where age guidance or safety information is provided for a particular product, that guidance forms part of the product information and should be followed.

Parents and caregivers are responsible for ensuring products are used appropriately having regard to the child's age and the safety information supplied with the product.

Nothing in this section reduces any obligation Araisy Limited has under applicable product safety or consumer law.

6. Placing an Order

When you submit an order, you are making an offer to purchase the products in your cart at the price displayed at checkout.

Submitting an order does not necessarily mean we have accepted it.

We may decline or cancel an order where reasonably necessary, including where:

  • a product is unavailable;

  • inventory information was incorrect;

  • there is an obvious pricing or listing error;

  • payment cannot be processed;

  • the delivery address is incomplete or cannot reasonably be serviced;

  • we reasonably suspect fraud, unauthorised payment or unlawful activity;

  • an order exceeds any applicable purchase quantity limit; or

  • we cannot lawfully supply the product.

We will not cancel an accepted order arbitrarily.

If we cancel an order after payment has been taken, we will refund the affected amount to the original payment method.

7. Order Changes and Cancellations

If you need to change or cancel an order, please contact us as soon as possible.

Because orders may move into production, packing or dispatch quickly, we cannot guarantee that an order can be changed or cancelled after it has been submitted.

If an order has already been dispatched, our Returns & Refunds Policy will apply.

Nothing in this section limits any rights you have under applicable consumer law.

8. Availability and Purchase Limits

Products are subject to availability.

We may limit the quantity of a particular product that may be purchased by one customer where reasonably necessary, including for limited releases, seasonal products or to prevent suspected commercial resale.

Adding an item to your cart does not reserve that item until checkout has been completed and the order accepted.

9. Prices

Prices are displayed on the website in the currency selected or otherwise indicated.

Any applicable shipping charges and other charges will be displayed before you complete checkout where reasonably practicable.

We may change product prices from time to time.

Price changes will not ordinarily affect an order that we have already accepted.

If a product is accidentally listed at an obviously incorrect price, we may contact you to offer the option of purchasing it at the correct price or cancelling the affected item for a full refund.

10. Discount Codes and Promotions

From time to time we may offer discount codes, promotional pricing, giveaways or other special offers.

Unless otherwise stated:

  • promotions cannot be combined;

  • discount codes have no cash value;

  • discounts apply only during the stated promotional period;

  • a promotion may apply only to selected products;

  • minimum-spend requirements may apply; and

  • discounts cannot be applied retrospectively to completed purchases.

Any specific terms advertised with a promotion form part of that promotion.

We may cancel or correct a promotion where there has been an obvious technical or publishing error, provided this does not remove rights already acquired under applicable law.

11. Payment

You must use a payment method that you are authorised to use.

Payments may be processed by Shopify Payments or other payment providers offered through our checkout.

We do not directly control the processing systems of independent payment providers.

An order may be delayed or declined where payment cannot be successfully authorised or where additional verification is reasonably required to prevent fraud.

12. Shipping

Shipping options, charges and available destinations will be displayed on our website or at checkout.

We aim to process and dispatch orders within the timeframes stated on our website.

Any delivery timeframe provided is an estimate unless we expressly agree to a guaranteed delivery date.

Delivery can occasionally be affected by circumstances outside our reasonable control, including:

  • courier network disruptions;

  • severe weather;

  • natural disasters;

  • transport disruption;

  • customs processing;

  • industrial action;

  • government restrictions; or

  • incorrect or incomplete delivery information supplied by the customer.

We remain responsible for meeting our obligations under applicable consumer law despite using third-party courier providers.

13. Delivery Addresses

You are responsible for providing a complete and accurate delivery address.

If you become aware that an address is incorrect, contact us immediately.

We will make reasonable efforts to correct the address before dispatch but cannot guarantee that changes can be made once an order has entered the courier network.

Additional delivery costs caused solely by incorrect information supplied by the customer may be payable by the customer where permitted by law.

14. Lost, Missing or Damaged Deliveries

If your order has not arrived within a reasonable time, has been damaged during delivery or appears to have been lost, please contact us.

We may investigate the delivery with the relevant courier and may request reasonable information such as:

  • your order number;

  • photographs of packaging or damage;

  • confirmation of the delivery address; or

  • other information reasonably required to investigate the issue.

Where the product or delivery does not meet applicable consumer guarantees, we will provide the remedy required by law.

15. International Orders

Where international shipping is available, customers are responsible for ensuring the products they order may lawfully be imported into their destination country.

International orders may be subject to customs procedures, import taxes, duties or other charges imposed by the destination country.

Where these amounts are not expressly included in the checkout price, they may be payable separately by the recipient.

International delivery estimates may be affected by customs processing or other border requirements outside our reasonable control.

Nothing in this section excludes mandatory consumer protections that apply to the transaction.

16. Returns and Change of Mind

Our voluntary returns arrangements are set out in our Returns & Refunds Policy.

Where we offer a change-of-mind return, the conditions of that voluntary return policy apply.

Our change-of-mind policy is separate from your statutory rights.

A voluntary return period does not limit the period during which you may have rights in relation to faulty or non-compliant products under applicable consumer law.

17. Faulty, Damaged or Incorrect Products

If you receive a product that is faulty, damaged, unsafe, materially different from its description or not the product you ordered, please contact us.

Depending on the nature of the issue and your rights under applicable law, the appropriate remedy may include:

  • repair;

  • replacement;

  • refund; or

  • another remedy required by law.

Nothing in these Terms limits your rights under the Consumer Guarantees Act 1993.

18. Consumer Guarantees Act

Where you acquire our products as a consumer, the Consumer Guarantees Act 1993 may provide guarantees including that goods are:

  • of acceptable quality;

  • fit for applicable purpose;

  • consistent with their description; and

  • supplied within applicable legal requirements.

These rights exist independently of any warranty, return period or other voluntary policy offered by Printlits.

Nothing in these Terms is intended to contract out of the Consumer Guarantees Act where contracting out is not legally permitted.

19. Business Purchases

If you purchase products in trade for business purposes, different legal rules may apply.

These consumer-facing Terms do not by themselves constitute an agreement to contract out of the Consumer Guarantees Act.

Any contracting out applicable to a business-to-business transaction must be separately agreed where permitted by New Zealand law.

20. Intellectual Property

Unless otherwise stated, the Printlits website and its content are owned by or licensed to Araisy Limited.

This includes, where applicable:

  • the Printlits name and branding;

  • logos;

  • website content;

  • written descriptions;

  • original photographs;

  • graphics;

  • videos;

  • illustrations;

  • marketing material; and

  • website design.

You may view and use our website for ordinary personal shopping purposes.

You must not, without permission:

  • reproduce our content for commercial purposes;

  • copy or republish our photographs or written material;

  • use our branding in a way that suggests an association or endorsement that does not exist;

  • scrape substantial portions of our website for commercial reuse; or

  • remove copyright, trademark or ownership notices.

Third-party intellectual property displayed on our website remains the property of its respective owner.

21. Reviews and Customer Content

If you voluntarily submit a review, photograph, video, testimonial or other content to us for publication, you confirm that:

  • you created it or have the right to provide it;

  • it does not knowingly infringe another person's rights;

  • it is not knowingly false or misleading; and

  • it does not contain unlawful or malicious material.

You retain ownership of your content.

By submitting content for publication or promotional use, you grant Araisy Limited a non-exclusive, worldwide, royalty-free licence to reproduce, display, adapt for formatting and use that content in connection with Printlits' website, social media, advertising and marketing.

You may contact us if you have concerns regarding content you have submitted.

22. Third-Party Services

Our website may use or link to third-party services such as:

  • Shopify;

  • payment processors;

  • courier providers;

  • social media platforms;

  • analytics providers; and

  • other technology providers.

Independent third parties may operate under their own terms and privacy policies.

We are not responsible for the independent acts or content of third-party websites that we do not control.

This does not limit any responsibility Araisy Limited has for services it has chosen to use in fulfilling its obligations to you.

23. Privacy

We collect and handle personal information in accordance with our Privacy Policy and applicable New Zealand privacy law.

Information necessary to complete an order may be provided to service providers involved in processing payments, hosting our store, fulfilling orders, delivering parcels and providing related services.

Please refer to our Privacy Policy for further information.

24. Website Security

You must not attempt to:

  • gain unauthorised access to our systems;

  • circumvent website security;

  • introduce malware or malicious code;

  • interfere with website operation;

  • access another customer's account without permission;

  • perform fraudulent transactions; or

  • use automated systems in a way that materially disrupts our website or services.

We may take reasonable steps to prevent, investigate or respond to suspected security threats or unlawful activity.

25. Errors and Technical Issues

Despite reasonable care, our website may occasionally contain:

  • typographical errors;

  • outdated availability information;

  • incorrect product information;

  • pricing errors; or

  • technical faults.

We may correct errors when discovered.

Where an error materially affects an order you have already placed, we will contact you where reasonably practicable and provide an appropriate solution.

26. Website Availability

We do not guarantee that the website will be continuously available without interruption.

We may temporarily restrict access where reasonably necessary for:

  • maintenance;

  • security;

  • upgrades;

  • technical issues; or

  • circumstances outside our reasonable control.

We will endeavour to minimise unnecessary interruption.

27. Prohibited Conduct

You must not use our website or services:

  • unlawfully or fraudulently;

  • to infringe another person's intellectual property;

  • to impersonate another person;

  • to submit false payment information;

  • to send malicious code;

  • to interfere with website security;

  • to unlawfully collect personal information;

  • to harass or threaten another person;

  • to send spam through our systems; or

  • for conduct that could reasonably cause material harm to our customers, systems or business.

28. Suspension or Refusal of Service

We may refuse an order or restrict access to our Services where reasonably necessary because of:

  • suspected fraud;

  • abuse or threats toward our staff;

  • unlawful activity;

  • repeated misuse of our returns or payment systems;

  • serious breaches of these Terms; or

  • threats to the security or operation of our website.

Any action we take under this section will be proportionate to the circumstances and will not remove rights you have in relation to existing purchases.

29. Our Liability

Nothing in these Terms excludes, restricts or modifies any liability, right, guarantee or remedy that cannot legally be excluded or restricted.

This includes applicable rights under the:

  • Consumer Guarantees Act 1993;

  • Fair Trading Act 1986; and

  • other applicable New Zealand law.

To the maximum extent permitted by law, Araisy Limited will not be liable for indirect or consequential losses arising solely from circumstances outside our reasonable control, third-party websites we do not control, or temporary unavailability of our website.

This limitation does not apply where a loss arises from our breach of applicable consumer law or where liability cannot legally be limited.

30. Your Responsibility for Unlawful Use

You are responsible for losses reasonably incurred by Araisy Limited as a direct result of your unlawful use of our website or intentional infringement of our rights.

This section does not require a consumer to indemnify us for losses caused by Araisy Limited, matters outside the consumer's control, or amounts that we could reasonably have avoided.

31. Events Outside Our Reasonable Control

We will not be considered in breach of these Terms merely because performance is temporarily delayed by a significant event outside our reasonable control.

Examples can include:

  • natural disasters;

  • severe weather;

  • major transport disruption;

  • widespread infrastructure outages;

  • government restrictions;

  • industrial action;

  • significant courier network disruption; or

  • other comparable events.

We will take reasonable steps to minimise the effects of the disruption and resume performance as soon as reasonably practicable.

Your statutory consumer rights continue to apply.

32. Complaints and Disputes

If you have a concern about an order or product, please contact us first so we have an opportunity to investigate and resolve it.

Nothing in these Terms prevents you from exercising any legal right or using any dispute resolution process available to you, including the New Zealand Disputes Tribunal or courts where applicable.

33. Changes to These Terms

We may update these Terms where reasonably necessary, including to reflect changes in:

  • our products;

  • our business;

  • our website;

  • service providers; or

  • applicable law.

The latest version will be published on our website together with its effective or last-updated date.

Changes will not retrospectively remove rights relating to purchases already made.

Unless required otherwise by law, the Terms applying to an order will generally be those in effect when that order was placed.

34. Severability

If any part of these Terms is held to be invalid or unenforceable, that part will be modified or removed only to the extent necessary.

The remainder of the Terms will continue to apply.

35. Waiver

If Araisy Limited does not immediately enforce a right under these Terms, that does not mean we have permanently waived that right.

36. Assignment

You may not transfer your rights or obligations under an order to another person where doing so would materially affect our rights or obligations without our consent.

Araisy Limited may transfer its rights or obligations as part of a legitimate restructuring, sale or transfer of the business, provided doing so does not materially reduce your rights under an existing consumer contract.

37. Entire Agreement

These Terms should be read together with:

  • our Returns & Refunds Policy;

  • our Shipping Policy;

  • our Privacy Policy;

  • product-specific information and safety warnings; and

  • any specific promotional terms that apply to your order.

Nothing in this section excludes representations, guarantees, rights or remedies that cannot lawfully be excluded.

38. Governing Law

These Terms are governed by the laws of New Zealand.

Any dispute will be dealt with through the courts, tribunals or other dispute resolution processes having jurisdiction under applicable law.

If you are purchasing from outside New Zealand, nothing in these Terms is intended to exclude any mandatory consumer protection that applies to you and cannot lawfully be excluded.
